Job Description:
The candidate should be a qualified L.L.B/ L.L.M with 15 plus years of experience in the legal role for a reputed organization
Should have prior experience in manufacturing industry
Good understanding of Indian laws & regulation.
Strong communication skills and pleasing personality is must.
Spearheading and implementing integration of legal activities, including litigation matters
Drafting and negotiating shareholder level contracts like master service agreements, framework agreements, indefeasible right to use agreement, managed services contract.
Due Diligence, negotiation and finalization of lease agreements for Corporate to business processes, legal and regulatory framework.
Handling the corporate secretarial matters of the company, including conducting of the Board, Shareholder and Committee meetings.
Rendering Advisory Opinions on various legal issues and on legal compliance for the entire group
Updating the company about the latest legal developments.
Advising the top management on issues relating to existing Joint Ventures and on matters relating to Mergers, Demergers, transfer of undertakings.
Advising on all IPR issues and Registering of Trade marks, Patents and Designs in India and abroad
Drafting/vetting all types of contracts/documents such as Share Purchase, Shareholders, Joint Venture, Technical Assistance/Technology Transfer, software licenses, copyright assignments .
Ensuring legal compliances and carrying out legal audit of all manufacturing units.
Drafting & settling of pleadings and written submission in various Civil, and Criminal matters
Briefing Senior Counsels and liaison with external Advocates
